CODE OF CONDUCT

One of the principal missions of Official Pro Players (“Network”) is to encourage high standards of ethical conduct in dealings with members, sponsors, and the public. To further that mission, the Network has adopted the following Code of Conduct to guide the Network’s members and other representatives when acting on behalf of the Network (the “Code”). The Code supports the Network in building a tradition of integrity, honor and professionalism. The Network is committed to serving as a benchmark in the sports industry.

It is every member’s and other representative’s responsibility to be familiar with this Code and to be sensitive to any situations that may violate it. This Code is intended as an effort to create and maintain a quality organization that gives consistent, ethical conduct the highest priority. This Code may be reviewed and revised periodically by the Network.

A. Scope of Code of Conduct

The foundation of this Code consists of the following basic standards of professionalism, as well as personal conduct:

• Honesty, fairness, trustworthiness, and candor in the Network’s activities, observing the spirit, as well as, the letter of the applicable laws;
• Avoidance of conflicts between personal interests and the interests of the Network;
• Maintenance of the Network’s reputation and avoidance of activities which might reflect adversely on the Network;
• Integrity in dealing with the Network’s property and assets;
• Fostering an atmosphere in which equal opportunity extends to every Network member and sponsor; and
• Sustaining a culture where ethical conduct is recognized, respected and promoted.

 
B. Policies and Procedures

Members and other representatives of the Network should:
• Make all reasonable efforts to support the mission of the Network, attend events hosted and/or supported by the Network, and to promote the Network to other prospective Members;
• Strive for excellence and innovation in all personal, professional, and philanthropic endeavors, and demonstrate professional respect to the Network’s members and constituents;
• Respect the confidentiality of sensitive and nonpublic information about the Network and its Members;
• Comply with applicable federal, state and local laws and regulations and maintain high standards of ethical conduct in the patronage of the Network;
• Be accountable for adhering to this Code and following good business ethics; and
• Honor the Network’s commitments and promises to the best of one’s abilities, while adhering to good business ethics.

Furthermore, the Network, in dealing with its Members and sponsors, agrees to always strive:
• To be transparent and forthcoming with monies acquired through fundraising activities and sponsorship, and to promptly pay any monies due to community organizations and event vendors;
• To encourage Member efforts to increase knowledge, improve skills, unite with one another, and engage with the community; and
• To take prompt action to address questions, concerns, or complaints regarding the Network and the support it provides to its Members.
